Aadi Enters into Exclusive License for Three-Asset ADC Portfolio Developed through a Collaboration between WuXi Biologics and HANGZHOU DAC Aadi Enters Agreement to Sell FYARRO ® and Associated Infrastructure to KAKEN Pharmaceutical for $100M ; Announces PIPE Financing of $100M Cumulative Capital Expected to Fund Operations into Late 2028, Including Anticipated Clinical Data for the ADC Portfolio Co-Founder and Former CEO of ProfoundBio, Baiteng Zhao, Appointed to Aadi Board of Directors Aadi to Hold Webcast and Conference Call on December 20 at 8:00 AM EST LOS ANGELES , Dec. 19, 2024 /PRNewswire/ -- Aadi Bioscience, Inc. (NASDAQ: AADI) today announced it has entered into an exclusive license agreement for development and global commercialization of a three-asset portfolio of preclinical, next-wave antibody-drug conjugates (ADCs), in collaboration with WuXi Biologics (2269.HK), a leading global Contract Research, Development and Manufacturing Organization (CRDMO), and HANGZHOU DAC BIOTECHNOLOGY CO., LTD. ( HANGZHOU DAC), a global leader in ADC innovation. Per the terms of the license agreement, Aadi is granted exclusive rights to certain patents and know-how pertaining to three preclinical ADC programs leveraging HANGZHOU DAC's CPT113 linker payload technology targeting each of Protein Tyrosine Kinase 7 (PTK7), Mucin-16 (MUC16) and Seizure Related 6 Homolog (SEZ6). Aadi will pay aggregate upfront payments of $44 million for in-licensing such ADC programs. Additionally, Aadi is obligated to pay cumulative development milestone payments of up to $265 million , cumulative commercial milestone payments of up to $540 million and single-digit royalties of sales. To support this transaction, Aadi entered into a subscription agreement with certain qualified institutional buyers and accredited investors for a private investment in public equity ("PIPE") financing that is expected to result in gross proceeds of approximately $100 million , before deducting placement agent fees and other offering expenses. The Company is selling an aggregate of 21,592,000 shares of its common stock ("Common Stock") at a price of $2.40 per share, representing a premium of approximately 3.4% to the closing price on December 19, 2024 on Nasdaq, and pre-funded warrants ("Pre-Funded Warrants") to purchase up to an aggregate of 20,076,500 shares of Common Stock at a purchase price of $2.3999 per Pre-Funded Warrant share. The syndicate was led by Ally Bridge Group, with participation from new investors OrbiMed, Invus, Kalehua Capital and other accredited investors, Tae Han co-founder of ProfoundBio, as well as existing investors, including Avoro Capital, KVP Capital and Acuta Capital Partners. The PIPE financing is expected to close in the first half of 2025, subject to stockholder vote and satisfaction of customary closing conditions. "I'm thrilled to announce our partnership with WuXi Biologics and HANGZHOU DAC to bring forward this thoughtfully selected ADC portfolio. We were deliberate in identifying broadly expressed tumor targets where first-generation ADCs have already shown proof of concept. With our next wave ADC portfolio, we aim to build upon these earlier therapies to deliver improved outcomes for people living with cancer," said David Lennon , PhD, President and CEO of Aadi Bioscience. "The financing underscores the confidence our investors have in both the potential of this portfolio and the strength of Aadi's management team." About the ADC Portfolio Each of the three ADC assets utilizes HANGZHOU DAC's CPT113 ADC platform, which consists of a highly stable yet cleavable linker that delivers a Topoisomerase I (TOPO1) inhibitor payload. The CPT113 platform's linker stability and novel payload has the potential to be highly competitive among the next generation ADC platforms. To effectively leverage the CPT113 platform, Aadi selected tumor targets that are upregulated in high-potential cancer indications and where clinical efficacy has been demonstrated by first-generation ADCs. These assets were discovered through the collaborative efforts of WuXi Biologics and HANGZHOU DAC, utilizing the innovative antibody discovery platform provided by WuXi Biologics and advanced linker-payload technology provided by HANGZHOU DAC. "Leveraging our advanced antibody discovery service, we're glad to enable Aadi to accelerate the discovery of precision therapies targeting some of the most challenging cancers," said Dr. Chris Chen , CEO of WuXi Biologics. "This collaboration underscores our wide recognition as an industry leader in discovery service solutions, and further validates our ability to provide integrated discovery technology platforms for global partners to develop next-generation modalities. We look forward to partnering with Aadi and HANGZHOU DAC to expeditiously move these assets forward into clinical development and benefit patients worldwide." " HANGZHOU DAC's CPT-ADC platform is designed to enable next wave ADC capabilities that surpass first-generation technologies, including two programs already in clinical development in China ," said Dr. Robert Y. Zhao , President and CEO of HANGZHOU DAC Biotechnology. "As a global leader in ADC innovation, we are excited to partner with Aadi and WuXi Biologics to deliver this promising portfolio to patients." Aadi to Sell FYARRO for $100 Million , Cumulative Capital Expected to Fund Operations into Late 2028 In a separate agreement, KAKEN Pharmaceutical Co., Ltd., an R&D driven pharmaceutical company in Japan , has entered into a stock purchase agreement under which KAKEN will acquire Aadi Subsidiary, Inc. and all of its assets, including FYARRO ® (sirolimus protein-bound particles for injectable suspension) (albumin-bound) and associated infrastructure, including the majority of Aadi employees who support the FYARRO ® business. FYARRO is approved by the U.S. Food and Drug Administration (FDA) for the treatment of adult patients with locally advanced unresectable or metastatic malignant perivascular epithelioid cell tumor (PEComa), with cumulative revenue of $25.2 million reported over the prior four quarters ended September 30, 2024 . Per the terms of the agreement, Kaken will pay Aadi $100 million in cash at closing, subject to certain adjustments. The transaction is expected to close in the first half of 2025, subject to Aadi stockholder approval and certain closing conditions. Upon the closing of this transaction, KAKEN will also acquire the rights to the Aadi name and trademark. "We are enormously proud of the impact FYARRO has had for people with PEComa, and Kaken's capabilities, coupled with the proven track record of the Aadi team, ensures physicians and patients will continue to have access to this critical treatment," said Lennon. The net proceeds from the PIPE financing and the sale of FYARRO, together with the Company's existing cash, cash equivalents and marketable securities are expected to fund operations into late-2028, including anticipated clinical data readouts for the ADC portfolio. Baiteng Zhao Appointed to the Board of Directors, Brings Significant ADC Expertise Baiteng Zhao, PhD, joins Aadi's board of directors. Zhao co-founded ProfoundBio, a clinical stage next-gen ADC developer, in 2018 and served as the Chairman and CEO of the company until it was acquired by Genmab for $1.8 billion in May 2024 . Prior to ProfoundBio, Dr. Zhao worked at Seagen (now part of Pfizer) for more than eight years and was responsible for the modeling and simulation strategies for the development pipeline and supported preclinical and clinical development of ADC drug candidates. "We are delighted to welcome Baiteng to our Board. His deep expertise and successful track record in ADC development will be instrumental as we tenaciously move this exciting portfolio forward," said Caley Castelein , MD, Chair of the Board of Directors of Aadi Bioscience. "I am thrilled to join the Board at this pivotal moment for Aadi," said Baiteng Zhao, PhD, Board of Directors of Aadi Bioscience and co-founder of ProfoundBio. "PTK7, MUC16 and SEZ6 represent highly promising targets that are commonly overexpressed in cancers with significant unmet therapeutic needs. Coupled with an advanced linker-payload platform that has the potential to enable next-gen ADCs, I believe Aadi is uniquely positioned to make a meaningful impact on patient outcomes. I look forward to collaborating with the leadership team and fellow Board directors to advance these innovative programs and drive transformative progress for patients." By JILL COLVIN and STEPHEN GROVES WASHINGTON (AP) — After several weeks working mostly behind closed doors, Vice President-elect JD Vance returned to Capitol Hill this week in a new, more visible role: Helping Donald Trump try to get his most contentious Cabinet picks to confirmation in the Senate, where Vance has served for the last two years. Vance arrived at the Capitol on Wednesday with former Rep. Matt Gaetz and spent the morning sitting in on meetings between Trump’s choice for attorney general and key Republicans, including members of the Senate Judiciary Committee. The effort was for naught: Gaetz announced a day later that he was withdrawing his name amid scrutiny over sex trafficking allegations and the reality that he was unlikely to be confirmed. Thursday morning Vance was back, this time accompanying Pete Hegseth, the “Fox & Friends Weekend” host whom Trump has tapped to be the next secretary of defense. Hegseth also has faced allegations of sexual assault that he denies. Vance is expected to accompany other nominees for meetings in coming weeks as he tries to leverage the two years he has spent in the Senate to help push through Trump’s picks. Matt Gaetz, R-Fla., at the Capitol in Washington, Wednesday, Nov. 20, 2024. (AP Photo/J. Scott Applewhite) Vance is taking on an atypical role as Senate guide for Trump nominees The role of introducing nominees around Capitol Hill is an unusual one for a vice president-elect. Usually the job goes to a former senator who has close relationships on the Hill, or a more junior aide. But this time the role fits Vance, said Marc Short, who served as Trump’s first director of legislative affairs as well as chief of staff to Trump’s first vice president, Mike Pence, who spent more than a decade in Congress and led the former president’s transition ahead of his first term. ”JD probably has a lot of current allies in the Senate and so it makes sense to have him utilized in that capacity,” Short said. Unlike the first Trump transition, which played out before cameras at Trump Tower in New York and at the president-elect’s golf club in Bedminster, New Jersey, this one has largely happened behind closed doors in Palm Beach, Florida. There, a small group of officials and aides meet daily at Trump’s Mar-a-Lago resort to run through possible contenders and interview job candidates. The group includes Elon Musk, the billionaire who has spent so much time at the club that Trump has joked he can’t get rid of him. Vance has been a constant presence, even as he’s kept a lower profile. The Ohio senator has spent much of the last two weeks in Palm Beach, according to people familiar with his plans, playing an active role in the transition, on which he serves as honorary chair. Mar-a-Lago scene is a far cry from Vance’s hardscrabble upbringing Vance has been staying at a cottage on the property of the gilded club, where rooms are adorned with cherubs, oriental rugs and intricate golden inlays. It’s a world away from the famously hardscrabble upbringing that Vance documented in the memoir that made him famous, “Hillbilly Elegy.” His young children have also joined him at Mar-a-Lago, at times. Vance was photographed in shorts and a polo shirt playing with his kids on the seawall of the property with a large palm frond, a U.S. Secret Service robotic security dog in the distance. Related Articles On the rare days when he is not in Palm Beach, Vance has been joining the sessions remotely via Zoom. Though he has taken a break from TV interviews after months of constant appearances, Vance has been active in the meetings, which began immediately after the election and include interviews and as well as presentations on candidates’ pluses and minuses. Among those interviewed: Contenders to replace FBI Director Christopher Wray , as Vance wrote in a since-deleted social media post. Defending himself from criticism that he’d missed a Senate vote in which one of President Joe Biden’s judicial nominees was confirmed, Vance wrote that he was meeting at the time “with President Trump to interview multiple positions for our government, including for FBI Director.” “I tend to think it’s more important to get an FBI director who will dismantle the deep state than it is for Republicans to lose a vote 49-46 rather than 49-45,” Vance added on X. “But that’s just me.” Vance is making his voice heard as Trump stocks his Cabinet While Vance did not come in to the transition with a list of people he wanted to see in specific roles, he and his friend, Trump’s eldest son, Donald Trump Jr., who is also a member of the transition team, were eager to see former Democratic Rep. Tulsi Gabbard and Robert F. Kennedy Jr. find roles in the administration. Trump ended up selecting Gabbard as the next director of national intelligence , a powerful position that sits atop the nation’s spy agencies and acts as the president’s top intelligence adviser. And he chose Kennedy to lead the Department of Health and Human Services , a massive agency that oversees everything from drug and food safety to Medicare and Medicaid. Vance was also a big booster of Tom Homan, the former acting director of Immigration and Customs Enforcement, who will serve as Trump’s “border czar.” In another sign of Vance’s influence, James Braid, a top aide to the senator, is expected to serve as Trump’s legislative affairs director. Allies say it’s too early to discuss what portfolio Vance might take on in the White House. While he gravitates to issues like trade, immigration and tech policy, Vance sees his role as doing whatever Trump needs. Vance was spotted days after the election giving his son’s Boy Scout troop a tour of the Capitol and was there the day of leadership elections. He returned in earnest this week, first with Gaetz — arguably Trump’s most divisive pick — and then Hegseth, who has was been accused of sexually assaulting a woman in 2017, according to an investigative report made public this week. Hegseth told police at the time that the encounter had been consensual and denied any wrongdoing. Vance hosted Hegseth in his Senate office as GOP senators, including those who sit on the Senate Armed Services Committee, filtered in to meet with the nominee for defense secretary. While a president’s nominees usually visit individual senators’ offices, meeting them on their own turf, the freshman senator — who is accompanied everywhere by a large Secret Service detail that makes moving around more unwieldy — instead brought Gaetz to a room in the Capitol on Wednesday and Hegseth to his office on Thursday. Senators came to them. Vance made it to votes Wednesday and Thursday, but missed others on Thursday afternoon. Vance will draw on his Senate background going forward Vance is expected to continue to leverage his relationships in the Senate after Trump takes office. But many Republicans there have longer relationships with Trump himself. Sen. Kevin Cramer, a North Dakota Republican, said that Trump was often the first person to call him back when he was trying to reach high-level White House officials during Trump’s first term. “He has the most active Rolodex of just about anybody I’ve ever known,” Cramer said, adding that Vance would make a good addition. “They’ll divide names up by who has the most persuasion here,” Cramer said, but added, “Whoever his liaison is will not work as hard at it as he will.” Cramer was complimentary of the Ohio senator, saying he was “pleasant” and ” interesting” to be around. ′′He doesn’t have the long relationships,” he said. “But we all like people that have done what we’ve done. I mean, that’s sort of a natural kinship, just probably not as personally tied.” Under the Constitution, Vance will also have a role presiding over the Senate and breaking tie votes. But he’s not likely to be needed for that as often as was Kamala Harris, who broke a record number of ties for Democrats as vice president, since Republicans will have a bigger cushion in the chamber next year. The holidays are here, which means Christmas music has fully infiltrated the charts, radio and mall speakers alike. Most of that music precedes this year, from traditional classics sung by Bing Crosby, Nat King Cole and Brenda Lee to contemporary hits from Mariah Carey, Kelly Clarkson and Michael Bublé — all names that regularly appear on the Hot Holiday Songs chart each year. But like every year before it, 2024 is closing with a bevy of new Christmas recordings from modern artists spanning pop, R&B, hip-hop, K-pop, jazz and rock. Some of those artists — Lady Gaga, RAYE and Laufey, to name a few — put their own inventive spins on famous carols that originated long before this year. Others — such as FIFTY FIFTY, Coco Jones and GloRilla and Kehlani — released brand-new anthems celebrating love, light, mistletoe, snow, presents, family and all the good stuff we know and love about the best time of year. Meanwhile, a few musicians like Bleachers, Jessie Reyez and Conan Gray went the complete opposite direction with their original tracks, spurning festive stereotypes and tapping into the more melancholy parts of the holidays that people sometimes struggle with. If you’re ready to stir something new into your Christmas playlists, Billboard presents the 25 best new seasonal tracks from artists of all genres and backgrounds ready for playback as we bid adieu to 2024. And who knows? Some or all of these tracks might just end up becoming new favorites that you’ll return to for yearly listening. Keep reading to see our staff picks below. After performing it with Zane Lowe on Apple’s A Carpool Karaoke Christmas , Lady Gaga surprise-dropped her soulful rock cover of “Santa Claus Is Coming to Town” on streaming services, adding hers to a collection of famous spins on the classic by artists and acts including Bruce Springsteen, the Jackson 5 and more. Nigerian star Pheelz gave “Twelve Days of Christmas” a modern Afrobeats shakeup for Apple Music’s exclusive Carols Covered playlist . Also on Apple’s Carols Covered playlist is a gorgeous cover of “O Holy Night” from RAYE, whose effortless vibrato and gospel harmonies will take you to church. German pop-punk rebel Nina Hagen reemerged this holiday season to cover “Silent Night” in her native language — in which the original ode was written — combining peaceful lyrics with vibrant drums and a grooving bass line. Written and recorded for Netflix’s That Christmas , “Under the Tree” features Sheeran’s passionate vocals and swelling strings as he pines after a lost love over the holidays. As the flagship artist introducing younger generations to jazz, it was only right for Laufey to use her prodigal skills for Christmas music. The Icelandic musician sounds gorgeous on all four tracks of her new EP, A Very Laufey Holiday , but her orchestral “Santa Baby” cover is particularly warm and cozy. Brett Eldrege’s smooth crooning sounds exactly like the title of “Warm and Cozy” suggests. The cheerful track is one of eight songs on the singer-songwriter’s new album, Merry Christmas (Welcome to the Family) . Propelled by a slap bass, saxophone and bright harmonies, Jimmy Fallon and the Jonas Brothers’ “Holiday” collaboration is a funky standout from the late night host’s 2024 Holiday Seasoning album. The project also features tracks with Meghan Trainor, Justin Timberlake, Ariana Grande and Megan Thee Stallion, among others. Flirty and plucky, “Parson Brown” finds Dan + Shay paying tribute to one of Christmas’ most under-appreciated characters: the clergy member in “Winter Wonderland” who asks, “Are you married?” The tongue-in-cheek track appears on the country duo’s 2024 festive album, It’s Officially Christmas: The Double Album . The five voices of Pentatonix unite with the two voices behind A Great Big World for a moving ballad celebrating the arrival of the best time of year. Expect emotional piano, swelling strings and gorgeous harmonies when pressing “play,” and don’t be afraid to “sing it loud for all to hear.” Calum Scott and Christina Perri will have you feeling achingly nostalgic with “Kid at Christmas,” on which the duet partners’ voices cascade over emotional piano while singing about the magic of the holidays carrying over from childhood. Through voice-isolating technology , the late Bing Crosby’s estate was able to take an old recording and fashion it into a duet with one of the world’s biggest modern pop stars: V of BTS. The result was a revamped version of one of music’s most enduring holiday classics with the two cross-generational stars’ silky voices blending in perfect tandem. Jennifer Hudson’s dazzling personality and powerhouse vocals shine through on this soulful ode to one of the holiday season’s biggest stressors: Christmas shopping. The original tune is one of 16 tracks on the vocalist’s brand new album, The Gift of Love . The members of Little Big Town harmonize over finger-picked guitar on “Evergreen,” which poetically posits that our memories with late loved ones are forever, even if those people aren’t here with us anymore. The track is one of 11 on the band’s 2024 holiday album, The Christmas Record . On “Holidays,” Conan Gray reflects on the loss of youth, love and innocence measured incrementally with each passing Christmas. “The years have passed but you laugh exactly the same/ When I see you for the holidays,” the California native sings over tender strings and haunting bell tones. Saweetie’s “I Want You This Christmas” is the flirty holiday rap song equivalent of a romantic Christmas fireplace. For anyone you might want to meet under the mistletoe, this is the track to send them. Both Michael Bublé and Carly Pearce get solo moments to shine on the former’s original Christmas tune, each of the singers taking a verse before their voices twist together on the chorus. Bublé also dropped a solo version of the track, as well as one featuring Carlos Rivera. Forget hippopotamuses and two front teeth. Megan Moroney knows exactly what she wants under her Christmas tree: a strapping cowboy. Please, Santa, please. Mt. Joy teamed up with Philadelphia Eagles offensive linemen Lane Johnson, Jason Kelce and Jordan Mailata for “Santa Drives an Astrovan,” a folksy, “Jingle Bells”-sampling standout from The Philly Specials’ 2024 charity album, A Philly Special Christmas Party . Kelly Clarkson, one of the queens of contemporary Christmas music, returned with another holiday banger in 2024. The superstar’s vocals soar on the high-energy “You for Christmas,” which appears on her When Christmas Comes Around ... Again album. FIFTY FIFTY combine fun K-pop with snazzy retro jazz vibes on “Naughty or Nice,” a pace-changing banger that finds the girl group taking a page out of Santa Claus’ book and asking the eternal question: Are you naughty or nice? Only GloRilla and Kehlani could make a Christmas song that’s simultaneously beautiful and bada–. The two women perfectly complement each other’s energies on this dynamic track as the Memphis rapper’s swaggering bars contrast with the R&B vocalist’s melodic refrain: “Nothing compares to the love at Christmas time.” For anyone feeling more like a Grinch or Scrooge about the 2024 holidays, Jessie Reyez’s angry new post-breakup anthem cathartically disavows parties, mistletoe, Santa Claus and everything else about the season. Bleachers shared the melancholy rock track “Merry Christmas, Please Don’t Call” in November for “everyone who experiences the holidays as a time to clean out those who have done you wrong,” frontman Jack Antonoff wrote on Instagram the day it dropped. Coco Jones breathed new R&B-pop life into the Christmas music canon with Coco by the Fireplace , a four-track holiday project. Standout track, “Santa Is Me,” is all about indulging in some well-earned self-love and retail therapy around the holidays, with the singer’s silky voice gliding over a punchy drum beat and lush harmonies as she sings, “If I don’t have anyone, I’m enough for me.”Tenable Holdings COO Mark Thurmond sells $33,504 in stock
