NEW YORK--(BUSINESS WIRE)--Dec 20, 2024-- Aptorum Group Limited (NASDAQ: APM) (“Aptorum Group” or the “Company”), a clinical stage biopharmaceutical company dedicated to meeting unmet medical needs in oncology, autoimmune and infectious diseases, today provided a business update and announced financial results for the six months ended June 30, 2024. “Our team and Yoov have spent considerable time and effort on the due diligence process, the negotiation of definitive terms, and the preparation of necessary transactional and listing documentation. However, current market conditions have introduced significant uncertainty regarding the availability of the required funding for the transaction. After careful consideration, our Board has determined that it is no longer in the best interests of our shareholders to proceed with this transaction. Despite this, we will continue to explore other business combination opportunities that we believe will enhance shareholder value,” stated Mr. Ian Huen, Chief Executive Officer and Executive Director of Aptorum Group Limited. Corporate Highlights On October 24, 2024, the Company and Yoov Group Holding Limited (“Yoov”) entered into a termination agreement and the anticipated reverse takeover transaction with Yoov was terminated. Financial Results for the Six Months Ended June 30, 2024 Aptorum Group reported a net loss of $2.7 million for the six months ended June 30, 2024 compared to $6.6 million for the same period in 2023. The decrease in net loss in the current period was driven by the decrease in operating expenses by $4.1 million due to the implementation of stringent budgetary control measures, as a result of the Company’s exclusive emphasis on the previous anticipated RTO. Research and development expenses were $2.0 million for the six months ended June 30, 2024 compared to $3.2 million for the same period in 2023. Before the Merger Agreement was terminated, we determined it was best to focus all of our attention and resources on completing the Merger and therefore paused the majority of our R&D activities during that time; following the termination of the Merger Agreement in the fourth quarter of fiscal 2024, we determined that searching for other business combination opportunities could maximize shareholder value, and our R&D activities remain suspended. General and administrative fees were $0.3 million for the six months ended June 30, 2024 compared to $1.3 million for the same period in 2023. The decrease in general and administrative fees was primary due to the streamlining of our operations to focus on preparation for the Merger, which has since been abandoned. Legal and professional fees were $0.4 million for the six months ended June 30, 2024 compared to $1.7 million for the same period in 2023. The decrease in legal and professional fees was attributed to the lack of non-routine activities that were present in the same period last year, such as the implementation of reverse stock split, and amendments to the memorandum and articles of association. The absence of such non-routine exercises in the current period has resulted in a decrease in legal and professional fees. As of June 30, 2024, cash and restricted cash totaled approximately $0.8 million and total equity was approximately $13.2 million. .As party postpones national convention The People’s Democratic Party (PDP) Governors Forum has called for greater unity within the party’s ranks, urgent economic reforms and a reform of the electoral system. The PDP governors made the call in a communique read by Bala Mohammed, Bauchi State governor and chairman of the PDP Governors’ Forum at the end of the party’s 7th meeting held on Saturday in Jos, the Plateau State capital. The meeting, which was attended by influential leaders within the PDP, including the National Working Committee (NWC), the Board of Trustees (BOT), and other major party figures, addressed various issues affecting the party and the nation. The forum expressed its commitment to addressing divisions within the party, emphasising the importance of unity ahead of the next general elections. “The Forum notes the concerns of Nigerians, PDP founding fathers, elders and members of our great Party of seeming divisions within the ranks and files. The Forum wishes to state categorically that it remains resolute in its determination to ensure unity and cohesion of this great Party that Nigerians have come to trust as the best platform for democratic governance.” A major development from the meeting was the acceptance of the postponement of the party’s National Executive Council (NEC) meeting, which was originally set for next week Thursday. The delay was made out of respect for the loss of the wife of Governor Eno Bassey of Akwa Ibom State. The party expressed its condolences, urging prayers for the governor and his family. The forum also urged the NWC to schedule the rescheduled NEC meeting by the first week of February 2025. “The Forum is constrained to accept the latest postponement of the National Executive Council (NEC) of the Party in empathy with our colleague, H.E. MELBOURNE, Australia (AP) — The Australian Senate on Thursday began considering a ban on children younger than 16 years old from social media after the House of Representatives overwhelmingly supported the age restriction. The world-first bill that would make platforms including TikTok, Facebook, Snapchat, Reddit, X and Instagram liable for fines of up to 50 million Australian dollars ($33 million) for systemic failures to prevent young children from holding accounts is likely to be passed by the Senate on Thursday, the Parliament’s final session for the year and potentially the last before elections, which are due within months. The major parties’ support for the ban all but guarantees the legislation will become law. But many child welfare and mental health advocates are concerned about unintended consequences. Unaligned Sen. Jacqui Lambie complained about the limited amount of time the government gave the Senate to debate the age restriction, which she described as “undercooked.” “I thought this was a good idea. A lot of people out there thought it was a good idea until we looked at the detail and, let's be honest, there's no detail,” Lambie told the Senate. The House of Representatives on Wednesday overwhelmingly carried the bill 102 votes to 13. Once the legislation becomes law, the platforms would have one year to work out how they could implement the ban before penalties are enforced. The platforms complained that the law would be unworkable, and urged the Senate to delay the vote until at least June next year when a government-commissioned evaluation of age assurance technologies made its report on how young children could be excluded. Critics argue the government is attempting to convince parents it is protecting their children ahead of general elections due by May. The government hopes that voters will reward it for responding to parents' concerns about their children's addiction to social media. Some argue the legislation could cause more harm than it prevents. Criticisms include that the legislation was rushed through Parliament without adequate scrutiny, is ineffective, poses privacy risks for all users, and undermines parental authority to make decisions for their children. Opponents of the bill also argue the ban would isolate children, deprive them of the positive aspects of social media, drive them to the dark web, discourage children too young for social media to report harm and reduce incentives for platforms to improve online safety.
While presenting producer and long-time collaborator Jack Antonoff with the Producer of the Decade award at Variety’ s eighth-annual Hitmakers event, Lana Del Rey made a rare mention of her husband Jeremy Dufrene, crediting Antonoff’s marriage to actress Margaret Qualley as “a big reason” why she married the 49-year-old Louisiana boat captain. “I’m grateful for [Antonoff] for the example he gave me in his marriage to [Margaret Qualley],” Del Rey said. “I saw the way he looked at her when he met her, and he’s a big reason why I waited so long to get married, and why I met my amazing husband.” Del Rey officially introduced Dufrene to the media in September, when she brought him as her plus-one to the glitzy New York wedding between model Karen Elson and Lee Foster. Only a few weeks later on Sept. 26, the pair got their marriage license and were married the same day. “I feel like there’s a singers’ curse around meeting an honest partner who has no skin in the game, no dog in the race,” Del Rey continued. “It’s super nerve-wracking to hold on to an innocent perception of how things could go when you’re in an industry where maybe your values and your morals don’t quite match up with what’s going on. Offensive coordinator Liam Coen said that although his offense has lacked many deep completions, he would welcome them despite adding the caveat that he won’t force them into the offense. Palmer has some of the best deep speed on the Bucs’ roster, so if he’s unable to go, that will likely lower the chances of a deep completion this week for an offense where they’ve already been few and far between.
